LotClip Terms of Service (Alpha)
These Terms are an agreement between 17805861 CANADA INC. ("LotClip," "we," "us") and the dealership and its staff using the LotClip alpha. By using LotClip, you agree to these Terms. If you don't agree, don't use it.
1. What LotClip is
LotClip lets a dealership salesperson record a short vehicle video, bundle it with photos and a note into a shareable page (a "clip"), and send it to a customer by email or text to view in their browser.
2. Alpha / pre-release notice
LotClip is pre-release software provided "as is" for testing. It may be unstable, may change, and may occasionally lose data or be unavailable. Please don't rely on it for anything business-critical during the alpha.
3. Roles
You (the dealership) decide how your customer data is used and are responsible for the consent needed to contact your customers (see Section 7). LotClip handles that data on your behalf to provide the service.
4. Accounts and eligibility
You must be of legal age and use LotClip for your dealership's business. Keep your sign-in details secure; you're responsible for activity under your account.
5. Acceptable use
Don't use LotClip to break the law or infringe others' rights, upload harmful or unlawful content, record or share someone's video or personal information without the permission you need, or interfere with or try to reverse-engineer the service.
6. Your content
You own the videos, photos, notes, and branding you upload ("Your Content"). You give us permission to host, store, process, and deliver Your Content only to provide the service. That permission ends when you delete the content or your account, aside from routine backups and anything we must keep by law.
7. Sending to real customers — your responsibility (CASL)
Because the alpha is used to send clips to real customers, you are responsible for complying with Canada's anti-spam law (CASL) for every clip you send by email or text. That means: getting the customer's consent before sending, identifying who the message is from, and honouring opt-outs. The legality of each send is your responsibility. You agree to cover us for any claim arising from your failure to obtain required consent or to comply with messaging or privacy laws.
8. Disclaimers
To the extent the law allows, LotClip is provided "as is" and "as available," without warranties of any kind. We don't guarantee it will be uninterrupted, secure, error-free, or that messages will be delivered.
9. Limitation of liability
To the extent the law allows, we won't be liable for indirect, incidental, or consequential damages, or for lost profits or data. This doesn't limit anything that can't be limited by law.
10. Termination
You can stop using LotClip at any time. We may suspend or end access if you misuse the service or break these Terms. On termination, we'll delete your data as described in the Privacy Policy.
11. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there.
12. Changes
We may update these Terms during the alpha and will post the updated version with a new date.
